    Job Description Key Responsibilities: Regulatory Updates & Legal Advisory: Analyze regulatory updates and provide advisory on various legal provisions under the Companies Act, 2013, and SEBI regulations. Draft policies in alignment with corporate governance guidelines and the evolving corporate regulatory landscape, including SEBI compliance. Corporate Reporting & Compliance: Ensure accuracy and timeliness in the preparation of the Annual Report, statutory reports, and returns, incorporating all relevant statutory provisions. Manage data integrity, including updates related to ESOPs, shareholder management, and coordination with accounts and HR. General Meetings & Shareholder Communication: Assist in organizing the Companys AGM/EGM, including drafting postal ballots for shareholder approvals. Issue notices and disseminate the Annual Report to stakeholders. Liaison & Coordination: Liaise with auditors (Internal, Secretarial, Statutory) and engage with stock exchanges, trustees, shareholders, and internal stakeholders on various matters. Identify related parties based on directors" disclosures and ensure compliance. Board & Governance: Conduct performance evaluations of the Board of Directors and submit feedback to the NRC Chairperson. Review and update applicable policies and codes within the secretariat department, and interact with stakeholders to draft, review, or amend these policies. Obtain senior management approval for policies and present them to the board for final approval. Secretarial Compliance: Review all secretarial compliances, including notices, agendas, and minutes of board and shareholder meetings. Oversee the filing of statutory e-forms with the ROC and manage annual and event-based disclosures of company directors. Ensure statutory registers are maintained as per the Companies Act, 2013. Candidate Profile & Competencies: Qualifications: Qualified Company Secretary with strong academic performance and extensive knowledge of company law, regulatory guidelines, and compliance requirements under the Companies Act, SEBI regulations, and corporate law. Experience: Minimum of 10-15 years post-qualification experience in a listed company, preferably within a bank, NBFC, or financial services company. Specific experience in the NBFC/Bank/Financial Services sector, particularly in handling company secretarial functions and interactions with regulators. Mortgage experience is essential. Skills & Attributes: Proven ability to effectively manage the Board and secretarial functions. Strong decision-making skills with the ability to act efficiently and effectively. Demonstrated ability to advocate a positive work culture, adopting strong organizational values. High level of leadership skills, with experience in leading, mentoring, and developing teams within a performance-driven culture.,
