Position: Qualified Company Secretary (CS) AIF Qualification: CS Experience: 2 to 5 years Location: Mumbai (Multiple Locations)
Job Summary: We are seeking a highly skilled and detail-oriented Company Secretary (CS) with a background in Alternative Investment Funds (AIFs) The ideal candidate should have expertise in AIF regulations, corporate laws, SEBI regulations, and governance best practices.
Key Responsibilities:
Ensure compliance with Companies Act, SEBI AIF Regulations, and other applicable laws.
Handle secretarial audits, XBRL filing, and regulatory compliances for AIFs.
Draft and review board resolutions, minutes, and regulatory filings specific to AIFs.
Manage regulatory reporting and liaise with regulatory bodies such as SEBI, ROC, and Stock Exchanges.
Oversee fund structuring, investor relations, and due diligence processes.
Maintain statutory registers, records, and corporate filings.
Provide legal and governance advice to the Board and senior management.
Ensure compliance with corporate governance best practices.
Assist in annual filings, financial disclosures, and investor communications.
Stay updated on amendments in corporate and securities laws, especially related to AIFs.
Qualifications & Skills:
Qualified Company Secretary (ACS) with membership from ICSI.
2-3 years of experience in handling AIF-related compliance.
Strong knowledge of corporate laws, SEBI AIF regulations, and fund management compliance.
Excellent drafting, communication, and analytical skills.
Ability to handle multiple responsibilities and work under strict timelines.
Experience with fund structuring, regulatory filings, and investor compliance is a plus.
Preferred Qualifications:
LLB or additional certifications in corporate law, compliance, or AIF regulations will be an advantage.
Hands-on experience with MCA, SEBI, and XBRL filings.
