Job Description
Job Title : Sr. Executive CS
Reporting to: Company Secretary
Qualifications: B. Com, CS (LLB preferred)
Experience : 0- 2 years
Location: Fort
Main Job Tasks and Responsibilities:
- Assisting in Liaisoning with board members.
- Helping in preparing annual reports of the company viz. Board report, MDA, Corporate governance etc.
- Helping in preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
- Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- Assisting in handling Regular Suits, Summary Suits, Writ Petitions, Consumer Complaints, Accident Claims and Unfair Labor Practice Matters etc.
- Preparing documents related to Arbitration Matters; assisting in preparing drafting statement of claim, reply, written arguments & statement of claims.
- Assisting in complying with the requirements under the Companies Act, 2013, SEBI Regulations (SEBI Takeover Regulations, SEBI Insider Trading Regulations etc.), Listing Agreement and RBI norms.
- Liaising with various Regulators like Registrar of Companies, Official Liquidators, Stock exchanges, SEBI, NSDL and CDSL
- Coordinating with RTA relating to shares and oversee its activities.
- Working on cases pertaining to Civil, Criminal, and Property laws after careful assessment of case history, merits and demerits.
- To attend Consumer Forums, Debt Recovery Tribunals, High Court and City Civil Court and other courts with respect to claims of various Financial Institutions.
- Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Assisting in Liaise with external regulators and advisers such as lawyers and auditors.
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Assisting in process for Pay of dividends to shareholders and manage share option schemes opted by various shareholders and IEPF Process.
- Assisting in preparing contractual agreements with suppliers and customers.
