We are seeking talented and highly skilled Director-level consultants to join our team and support us to expand our impact in the Private Equity (PE) sector. You will be working closely with Alysian leaders, PE Operating Partners, and the CIOs/IT Leadership teams at portfolio companies to execute transformative IT-enabled value creation strategies.


CONTEXT ON ROLE

We are looking to build and grow a premier Tech M&A Advisory practice for India and Global clients that consistently delivers exceptional value to private equity clients and its Portfolio companies, positioning Alysian as a trusted partner in technology evaluations for mergers and acquisitions.

We are seeking a hands-on, results-driven individual to join our growing team. This individual will play a critical role in both risk avoidance and value creation for our Private Equity clients, leading / supporting IT due diligence (DD), technology strategy, value creation and transformation initiatives. The ideal candidate will have deep experience in Private Equity-backed businesses, with a focus on operational execution, risk mitigation, and identifying opportunities for growth and value creation through technology. This role combines technical expertise, business acumen, and a strong client management capability.


QUALIFICATION

  • MBA (premier or leading Business Schools) and/or
  • Recognized degree from leading international universities, with a Post-Graduate degree or Professional Certifications

WORK EXPERIENCE

  • 5+ years of experience in technology-driven M&A activities, including due diligence, integration, and technology strategy development.
  • 5+ years of experience in technology-driven transformation including IT/ Digital/ Tech Strategy development, Large IT Program Management, Vendor Contract/ SoW Review for large turn key programs.
  • Strong project management skills and experience working in cross-functional teams.
  • Proven track record in managing complex technical integration and vendor management during M&A processes.
  • Experience with Agile and Waterfall methodologies is desirable.
  • Excellent communication skills with the ability to explain technical concepts to non-technical stakeholders.
  • Strong analytical, problem-solving, and negotiation skills.

KEY RESPONSIBILITIES

1. Technology Due Diligence:

Lead and manage Tech/ IT Due Diligence. Conduct in-depth technical assessments of potential acquisition targets, evaluating their technology stacks, product offerings, development processes, security measures, and infrastructure.


2. Technology Strategy Alignment:

Assess how the target company's technology portfolio aligns with our overall strategic goals and digital transformation initiatives, identifying synergies, risks, and integration opportunities.


3. Integration Planning:

Develop and execute detailed technology integration plans, ensuring the smooth transition of systems, platforms, and data post-acquisition, while maximizing the value of technology investments.


4. Vendor & Tool Evaluation:

Assess third-party software, services, and technology vendors used by the target company, including licensing agreements and cost efficiency. Provide recommendations for optimizing the technology ecosystem post-merger.


5. Identify & Mitigate Technical Risks:

Identify potential technical risks related to scalability, security, technical debt, or product development, and provide solutions or mitigation strategies to reduce the impact on the post-deal integration process.


6. Cross-Functional Collaboration:

Collaborate with cross-functional teams (finance, legal, operations, etc.) to ensure that technology-related due diligence and integration efforts align with broader M&A strategies and financial objectives.


7. Stakeholder Communication:

Provide regular updates and reports to senior leadership, stakeholders, and potential investors regarding technology findings, risks, and integration plans.


8. Post-Merger Integration:

Manage and oversee the successful execution of technology integration during the post-merger phase, ensuring that technology systems, tools, and teams are fully aligned with the overall business strategy.


9. Project Management:

Lead and manage the timeline, budget, and resources for M&A technology projects, ensuring on-time delivery, quality, and alignment with organizational goals.


10. Continuous Improvement:

Stay informed on market trends, emerging technologies, and best practices to continuously improve the M&A process and ensure the company remains competitive in its tech-driven growth strategy.


REQUIREMENTS

PE Experience:

Private Equity Expertise

  • Experience in large or mid-cap PEs either as an operating partner, consultant in the PE sector or management role in a PE-backed company. Private equity experience is a strong asset, as it is key to aligning infrastructure strategies with investment objectives.
  • Experience in large-cap PE houses e.g. Blackstone, Carlyle, Warburg, CVC, EQT, KKR is required.

Consulting Experience Mandatory: minimum 5 years of experience in consulting or advisory roles
