We are seeking a highly experienced and proactive Company Secretary with over 15 years of proven track record in public limited companies, preferably in the manufacturing sector. The ideal candidate will ensure the company's compliance with statutory and regulatory requirements, handle all corporate governance matters, and support the board of directors and senior management in maintaining high standards of transparency, ethics, and governance.
Statutory Compliance & Legal Governance
Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable laws.
Manage statutory filings (ROC, MCA, etc.), annual returns, board resolutions, and general meetings (AGM/EGM).
Ensure adherence to corporate laws, secretarial standards, and industry best practices.
Board and Shareholder Management
Organize and manage Board meetings, Committee meetings, and General meetings including agenda, minutes, and action items.
Act as a key liaison between the board of directors and various stakeholders.
Ensure proper maintenance of statutory registers and records.
Corporate Governance
Advise the Board on good governance practices and compliance with corporate governance norms.
Assist in the formulation and implementation of policies related to ethics, compliance, and internal control.
Liaison & Representation
Represent the company before regulatory bodies such as MCA, SEBI, ROC, RBI, etc.
Liaise with legal advisors, auditors, and other consultants.
Equity & Secretarial Management
Manage shareholding patterns, ESOPs, IPO/FPO matters, mergers, acquisitions, and restructuring as applicable.
Coordinate with RTA and oversee dividend distribution processes and investor grievances.
Documentation & Record Keeping
Maintain updated records of legal and corporate documents, licenses, and approvals.
Draft and vet various agreements, MoUs, and legal correspondences.
Qualified Company Secretary (CS) from ICSI. Additional qualification like LLB or MBA in Finance/Corporate Law is a plus.
Minimum 15 years of experience, with at least 8-10 years in a leadership or standalone CS role in a public limited company.
Prior experience in manufacturing or industrial sector is preferred.
In-depth knowledge of Indian corporate laws, SEBI listing obligations, FEMA, etc.
Excellent communication, drafting, analytical, and leadership skills.
Ability to work closely with senior leadership and handle sensitive information with discretion.
