Job Description


Job Title: Company Secretary - Trusts & Non-Profit Governance


Location: Thiruvananthapuram, Kerala (with potential for occasional travel)


Reporting To: Head of CSR & Head of Legal & Compliance / Board of Trustees


Job Summary: We are seeking a skilled and experienced Company Secretary to oversee all secretarial, legal, and governance aspects for two Trusts and one Section 8 Non-Profit Company within the Muthoot Pappachan Group. The successful candidate will be instrumental in ensuring robust compliance, transparent operations, and adherence to best-in-class governance standards for these vital social and philanthropic entities, including comprehensive CSR management.


Key Responsibilities:


  • Statutory & Regulatory Compliance:
    • Ensure absolute compliance with all provisions of the Companies Act, 2013, specifically for the Section 8 Company.
    • Oversee compliance with the Indian Trusts Act and other relevant state-specific trust laws for both Trusts.
    • Manage adherence to provisions of the Income Tax Act, 1961, pertaining to charitable institutions and non-profit organizations (e.g., Sections 12A, 80G, 10(23C)).
    • Ensure compliance with the Foreign Contribution (Regulation) Act, 2010 (FCRA), if applicable, for any foreign receipts.
    • Stay abreast of changes in relevant laws and regulations impacting Trusts and Section 8 Companies and ensure timely implementation of necessary adjustments.

  • CSR Compliance & Reporting:
    • Manage comprehensive compliance with Section 135 of the Companies Act, 2013, and associated CSR Rules.
    • Facilitate the formation and functioning of the CSR Committee, including meeting preparation and minute-taking.
    • Oversee the development, review, and implementation of the CSR Policy.
    • Monitor CSR expenditure, ensure proper utilization of funds, and maintain accurate records of CSR activities.
    • Prepare and file the annual CSR report for 6 contributing group companies within Muthoot Pappachan Group, ensuring transparency and adherence to statutory reporting requirements.

  • Board & Trustee Meeting Management:
    • Organize and manage Board Meetings for the Section 8 Company and Trustee Meetings for the Trusts, including preparing notices, agendas, and board packs.
    • Accurately record and prepare detailed minutes of all meetings, ensuring statutory compliance and reflection of decisions taken.
    • Facilitate the execution of resolutions and decisions, tracking action items and ensuring timely closure.

  • Governance & Policy Framework:
    • Develop, implement, and monitor robust governance policies and procedures tailored to the specific nature of Trusts and the Section 8 Company.
    • Advise the Boards/Trustees on corporate governance best practices, ethical conduct, and fiduciary duties.
    • Assist in formulating and reviewing internal policies, codes of conduct, and operational guidelines to ensure legal compliance and effective functioning.
    • Assist in preparing all required MoUs and Agreements both internal and external on behalf of the Trusts/ Section-8 Company.

  • Records Management & Filings:
    • Maintain statutory registers, records, minute books, and other essential documents accurately and securely for all entities.
    • Ensure timely and accurate filing of all requisite forms and returns with the Registrar of Companies (ROC), Income Tax Department, Charity Commissioner, and other regulatory bodies.
    • Manage all documentation related to amendments in trust deeds, memorandum & articles of association, or other foundational documents.

  • Advisory & Liaison:
    • Provide expert legal and secretarial advice to the Boards of Directors/Trustees on matters pertaining to corporate law, trust law, governance, and compliance.
    • Act as a key liaison with external auditors, legal counsel, regulatory authorities, and other stakeholders concerning secretarial and governance matters.
    • Facilitate efficient communication between the Board/Trustees and management.

  • Risk Management & Internal Controls:
    • Assist in identifying and mitigating compliance risks specific to non-profit entities and trusts.
    • Contribute to strengthening internal controls related to governance and legal compliance.

Required Qualifications & Experience:

  • Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI) is mandatory.
  • A Bachelor's Degree in Law (LLB) from a recognized university is highly preferred.
  • Minimum of 3-5 years of post-qualification experience in Company Secretarial practice, with significant exposure to managing Trusts and/or Section 8 Companies.
  • Proven track record of ensuring comprehensive statutory and regulatory compliance for non-profit entities, including specific experience with CSR compliance and reporting.

Skills & Competencies:

  • Deep and practical knowledge of the Companies Act, 2013 (especially Section 8 and CSR provisions), Indian Trusts Act, and Income Tax Act provisions for non-profits.
  • Familiarity with FCRA regulations will be an added advantage.
  • Exceptional written and verbal communication skills, with the ability to articulate complex legal concepts clearly and concisely.
  • Strong organizational skills, meticulous attention to detail, and ability to manage multiple priorities effectively.
  • High degree of integrity, ethical conduct, and discretion.
  • Proactive, self-motivated, and capable of working independently as well as collaboratively within a team.
  • Strong analytical and problem-solving abilities.
